These Terms and Conditions ("Terms") govern access to and use of the ticketing platform operated by Qavtix Limited ("Qavtix", "Platform", "we", "us", or "our"), including the purchase and sale of tickets, creation of user accounts, and listing of events. By creating an Account, listing an Event, purchasing a Ticket, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Refund Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

1. 1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern access to and use of the ticketing platform operated by Qavtix Limited ("Qavtix", "Platform", "we", "us", or "our"), including the purchase and sale of tickets, creation of user accounts, and listing of events. By creating an Account, listing an Event, purchasing a Ticket, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Refund Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

2. 2. Definitions

In these Terms, unless the context otherwise requires:

"Account"

A registered account created on the Platform.

"Buyer"

Any individual or entity that purchases a Ticket through the Platform.

"Registered User"

Any user who creates an Account on the Platform.

"Event Host" or "Organizer"

Any individual or entity that lists, promotes, or sells Tickets for an Event through the Platform.

"Event"

Any concert, show, conference, exhibition, seminar, or activity listed on the Platform.

"Marketplace"

The Platform feature that enables eligible Registered Users to resell Tickets.

"Resale Ticket"

A Ticket listed for sale through the Marketplace.

"Ticket"

A valid entry pass to an Event, whether electronic or physical.

"Ticket Proceeds"

The revenue generated from Ticket sales, less applicable fees, refunds, chargebacks, commissions, and deductions permitted under applicable agreements.

"Withdrawal Request"

A request by a User or Event Host to transfer available funds from their Platform account.

3. 3. Eligibility and Account Registration

3.1 To use the Platform, you must be at least eighteen (18) years old or have the consent of a parent or legal guardian and possess the legal capacity to enter into a binding contract under Nigerian law.

3.2 Where an Account is created on behalf of a legal entity, the individual creating the Account represents that they are duly authorised.

3.3 Users are responsible for maintaining the confidentiality of Account credentials and for all activities conducted through their Account.

3.4 Qavtix reserves the right to suspend or terminate any Account that provides false information, engages in misconduct, or breaches these Terms.

3.5 Registered Users may have access to additional Platform features including:

  • affiliate marketing opportunities
  • initiation of Split Payment purchases
  • access to the Marketplace for eligible Ticket resale

3.6 An Account containing pending, available, reserved, or undistributed funds shall not be eligible for deletion until such funds have been withdrawn, refunded, transferred, or otherwise resolved to the satisfaction of the Platform.

4. 4. Nature of the Platform

4.1 The Platform operates solely as a technology, ticketing, and payment intermediary connecting Event Hosts and Buyers.

4.2 Qavtix is not the organiser, promoter, partner, agent, or producer of any Event unless expressly stated.

4.3 The Event Host bears full responsibility for the planning, execution, safety, legality, and delivery of each Event.

5. 5. Ticket Purchase, Use and Related Features

5.1 Purchase & Delivery

Tickets may be purchased through the Platform upon successful completion of payment using the available payment methods. A Ticket shall be deemed issued only upon payment confirmation and delivery of an electronic ticket or confirmation notice. Tickets are typically delivered electronically via email, QR code, or other digital means linked to the User's account. Each Ticket is valid only for the specified Event and for one person, unless expressly stated otherwise. Tickets must not be duplicated, altered, tampered with, or fraudulently obtained. Entry to an Event may be refused where a Ticket is invalid, duplicated, altered, or otherwise compromised.

5.3 Affiliate Marketing

Where affiliate marketing is enabled on the Platform, Users may promote Tickets using affiliate links or tools provided. To qualify for commission or benefits:

  • The User must comply with all instructions provided for use of affiliate links and tools
  • Only valid ticket sales completed through the User's affiliate link shall qualify for commission
  • Commissions shall be calculated based on the sale amount displayed on the Platform and may be subject to deductions for applicable fees, refunds, or chargebacks
  • Commissions shall only be paid after the corresponding ticket sale is fully completed and not cancelled or refunded
  • The Platform reserves the right to withhold, adjust, or cancel commissions where fraud, misuse, or violation of these Terms is detected

The Platform does not guarantee any specific level of earnings. Commission payments shall be made in accordance with the Platform's standard payment schedule and methods.

5.4 Split Payment

The Platform offers a group ticket purchase option ("Split Payment"), subject to ticket availability and any limitations imposed by the Platform.

5.5 Split Payment Availability

Split Payment availability shall operate as follows:

  • Where an Event is more than thirty (30) days away, a Split Payment arrangement shall remain open for seven (7) days from initiation
  • Where an Event is seven (7) days away, the Split Payment arrangement shall expire on the following day
  • When an Event is thirty (30) days away, a Split Payment arrangement shall remain open for three (3) days from initiation
  • Where an Event is two (2) days or less away, Split Payment shall not be available

5.6 Tickets subject to Split Payment shall not be issued until full payment for all Tickets in the group has been received.

5.7 Where full payment is not received before the applicable Split Payment expiry period, the transaction shall automatically be cancelled and any amounts paid shall be refunded, subject to a fifteen percent (15%) refund fee.

5.8 A processing fee of 7.5% shall apply to the purchase of each Ticket through the Platform by both Registered Users and Buyers. The applicable processing fee shall be displayed to the User prior to completion of the transaction.

5.9 For each Ticket sold through the Platform, Qavtix shall charge the Host a service fee of 7.5% + ₦100, which shall be deducted from the Ticket Proceeds prior to disbursement.

6. 6. Marketplace Ticket Resale

6.1 The Platform may permit eligible Registered Users to list Tickets for resale through the Marketplace.

6.2 Only Tickets originally purchased directly by the User seeking to resell them shall be eligible for Marketplace resale.

6.3 A Ticket acquired through the Marketplace from another User shall not be eligible for further resale through the Marketplace.

6.4 The resale price of a Ticket shall not exceed twenty percent (20%) of the original Ticket purchase price.

6.5 A commission of fifteen percent (15%) shall be deducted by the Platform from the proceeds payable to the Registered User upon each successful Marketplace resale transaction.

6.6 The Platform reserves the right to reject, remove, suspend, or cancel any Marketplace listing or transaction where fraudulent, abusive, suspicious, or manipulative activity is detected.

7. 7. Pricing, Fees, and Payments

7.1 Ticket prices shall be displayed in Naira (₦) unless otherwise stated and may include service charges, processing fees, commissions, taxes, or other applicable charges disclosed prior to payment.

7.2 A processing fee of 7.5% shall apply to each Ticket purchased through the Platform by a Buyer or Registered User.

7.3 Payments are processed through third-party payment processors, and Qavtix shall not be liable for failures arising from external payment systems.

8. 8. Refunds, Cancellations, and Event Changes

8.1 Refunds and cancellations shall be governed by the Refund Policy.

8.2 Where an Event is postponed or rescheduled, Tickets may remain valid or be addressed in accordance with applicable law or the Event Host's policy.

8.3 Where Ticket Proceeds have been disbursed to the Event Host, the Event Host shall remain responsible for funding any refunds, and Qavtix may facilitate enforcement.

8.4 Where an Event is cancelled, the Platform may notify affected Ticket holders, the Event Host, and Platform administrators by email, in-app notification, or any other communication channel available to the Platform.

8.5 Where an Event is cancelled, the Event Host shall not be permitted to delete their Account until seven (7) days have elapsed from the date of cancellation and all refund obligations, disputes, investigations, or compliance matters relating to the Event have been resolved.

9. 9. Event Host General Obligations

Event Hosts warrant that:

  • Event information is accurate and not misleading
  • All required permits and approvals have been obtained
  • Events comply with applicable laws
  • Tickets sold will be honoured

Commercial and operational obligations of Event Hosts are governed separately by the Ticket Service Agreement.

10. 10. Platform Enforcement Rights

Qavtix may investigate Events, Accounts, or transactions and may suspend listings, withhold funds, reverse transactions, terminate Accounts, report misconduct to authorities, or take any action reasonably necessary to protect Users, the Platform, or its business operations.

11. 11. Withdrawals

11.1 All Withdrawal Requests submitted by Event Hosts or Users shall remain pending until reviewed and approved by the Platform.

11.2 Qavtix reserves the right to delay, reject, suspend, or investigate any Withdrawal Request where fraud, chargebacks, disputes, security concerns, regulatory obligations, or other risks are identified.

11.3 Users and Event Hosts can only submit a maximum of two (2) Withdrawal Requests per calendar day.

11.4 A User or Event Host must maintain a minimum available account balance of ₦10,000 before becoming eligible to submit a Withdrawal Request.

11.5 Withdrawals are free of charge, and Qavtix does not impose any withdrawal fee on approved Withdrawal Requests.

11.6 Withdrawal approval shall remain subject to compliance with these Terms and any applicable verification requirements imposed by the Platform.

12. 12. Intellectual Property

All Platform content remains the intellectual property of Qavtix or its licensors. Event Hosts grant Qavtix a non-exclusive licence to use Event materials for promotional purposes.

13. 13. Prohibited Conduct

Users shall not engage in fraud, chargeback abuse, unlawful activity, unauthorised resale, manipulation of Marketplace listings, interference with Platform operations, circumvention of Platform restrictions, or any activity that compromises the security or integrity of the Platform.

14. 14. Limitation of Liability

To the fullest extent permitted by law, Qavtix shall not be liable for losses arising from attendance, non-attendance, cancellation, postponement, or Event performance. Where liability is established:

  • Buyer claims shall be limited to the Ticket value
  • Host-related liability shall be limited to service fees earned by Qavtix

15. 15. Indemnity

Users agree to indemnify Qavtix against claims, losses, liabilities, damages, costs, or expenses arising from breach of these Terms or misuse of the Platform. Event Hosts further indemnify Qavtix against claims arising from their Events.

16. 16. Data Protection

Personal data shall be processed in accordance with the Privacy Policy and applicable Nigerian data protection laws.

17. 17. Suspension and Termination

17.1 Qavtix may suspend Accounts, cancel Tickets, restrict access, withhold funds, or impose limitations where breach, fraud, risk, legal requirements, or regulatory obligations arise.

17.2 Notwithstanding any request for account deletion, the Platform may retain, suspend, or restrict an Account where:

  • Funds remain in the Account
  • A Withdrawal Request is pending
  • An Event cancellation occurred within the preceding seven (7) days
  • Any dispute, investigation, refund obligation, chargeback, or legal compliance requirement remains outstanding

18. 18. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms shall be resolved by arbitration in Nigeria, and the arbitral decision shall be final and binding on the Parties.

19. 19. Miscellaneous

These Terms constitute the entire agreement between the Parties concerning the use of the Platform. Qavtix reserves the right to amend these Terms at any time, and continued use of the Platform following such amendment shall constitute acceptance of the revised Terms. If any provision of these Terms is held to be invalid, illegal, unenforceable, or void by a court or tribunal of competent jurisdiction, such provision shall, to the extent of such invalidity, illegality, unenforceability, or voidness, be severed from these Terms, and the remaining provisions shall continue in full force and effect.
